General Terms & Conditions (AGB)

Allgemeine Geschäftsbedingungen - B2B

1. Scope of Application (Geltungsbereich)

These General Terms and Conditions (AGB) apply to all contracts concluded between Bulk In Distributor (hereinafter "Seller") and our business clients (hereinafter "Buyer" or "Customer") via our wholesale e-commerce platform.

We supply exclusively to entrepreneurs, legal entities under public law, or special funds under public law (B2B). Consumer transactions (B2C) are expressly excluded. By placing a bulk order, the Buyer confirms their status as a commercial entity.

2. Conclusion of Contract (Vertragsschluss)

The presentation of products in our online shop does not constitute a legally binding offer, but rather a non-binding online catalog. The Minimum Order Quantities (MOQ) specified for each product apply.

  • By clicking the "Checkout" or "Request Bulk Quote" button, the Buyer submits a binding offer to purchase the goods in the shopping cart.
  • The contract is only concluded when the Seller sends an official order confirmation or proforma invoice via email, or dispatches the goods.

3. Prices and Payment Terms (Preise und Zahlungsbedingungen)

All indicated prices are net prices and do not include statutory value-added tax (VAT), import duties, or shipping costs unless expressly stated otherwise.

  • Upfront Payment: For standard accounts, production and dispatch will only commence upon full receipt of payment.
  • Net-30 Terms: Approved trade partners may utilize Net-30 terms. Invoices must be settled without deduction within 30 days. In the event of default, we reserve the right to charge statutory default interest.

4. Delivery and Shipping Conditions (Lieferbedingungen)

Delivery is generally carried out on EXW (Ex Works) or DAP (Delivered at Place) terms, depending on the agreed freight option during checkout.

The risk of accidental loss and accidental deterioration of the sold goods shall pass to the Buyer as soon as the Seller has delivered the goods to the forwarding agent, the carrier, or the person designated to carry out the shipment. Delivery dates are estimated and non-binding unless specifically guaranteed in writing.

5. Retention of Title (Eigentumsvorbehalt)

The Seller retains title to the delivered goods (reserved goods) until all claims arising from the business relationship with the Buyer have been settled in full.

The Buyer is entitled to resell the reserved goods in the ordinary course of business. In this case, the Buyer hereby assigns to the Seller all claims arising from such resale, to the extent of the invoice value of the reserved goods.

6. Warranty and Liability for Defects (Gewährleistung)

The statutory provisions apply to the rights of the Buyer in the event of material defects and defects of title, subject to the following modifications for B2B transactions:

  • The Buyer must inspect the goods immediately upon delivery and report any visible defects or transport damage to the Seller in writing within five (5) business days.
  • If the goods are defective, the Seller may choose to provide supplementary performance by remedying the defect (repair) or delivering a defect-free item (replacement).
  • Claims for defects expire 12 months after the transfer of risk, except in cases of fraudulent concealment of a defect.

7. Applicable Law and Jurisdiction (Gerichtsstand)

The law of the jurisdiction in which Bulk In Distributor is formally registered shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship shall be the competent court at the Seller's registered place of business, provided the Buyer is a merchant, a legal entity under public law, or a special fund under public law.
